Website Terms of Use

These Website Terms of Use (the "Terms") govern your access to and use of the websites and the pages and content we make available to the public (together, the "Site"), provided by RLIM LLC, a New Mexico limited liability company doing business as DS ProSolution ("DS ProSolution," "we," "us," or "our"). Please read these Terms carefully.

Acceptance

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, do not use the Site.

Which terms apply to you

Different parts of what we offer are covered by different terms:

  • Our websites. These Terms apply to everyone who visits or uses the Site.
  • The self-serve app and dashboard. Your use of the DS ProSolution web application and dashboard is also governed by the Tool Terms of Service.
  • Done-for-you / agency clients. Managed-service engagements are governed by your signed Master Services Agreement (the "MSA") and Service Order Form (the "SOF"), summarized in our Agency Terms. For managed-service matters, the MSA controls if there is any conflict.

Eligibility

The Site is intended only for natural persons who are at least 18 years of age. By using the Site, you represent and warrant that you are 18 or older and are able to form a binding contract.

Acceptable use

You agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable law or regulation.
  • Reverse-engineer, decompile, disassemble, copy, or attempt to derive the source code of, or otherwise reproduce, the Site or its underlying software, except to the extent this restriction is prohibited by applicable law.
  • Scrape, crawl, or use automated means to access the Site without our prior written permission.
  • Interfere with or disrupt the integrity or performance of the Site, or attempt to gain unauthorized access to the Site or related systems.
  • Use the Site to infringe the rights of others or to transmit malware or other harmful code.

Intellectual property

The Site, including its content, designs, text, graphics, and all related intellectual property, is owned by RLIM LLC or its licensors and is protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for its intended purpose, subject to these Terms. We reserve all rights not expressly granted.

Third-party services

The Site may reference or link to third-party services, including eBay, Amazon, Stripe, and Google. Your use of those services is governed by their own terms and policies, and we are not responsible for third-party services. We do not control and are not responsible for the availability, accuracy, or actions of any third-party service or marketplace.

Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that content on the Site is accurate or complete. Our products and managed services have their own terms and disclaimers, which apply to those offerings.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RLIM LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWO (2) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless RLIM LLC and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.

Governing law and venue

These Terms are governed by the laws of the State of New Mexico, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Site will be the state or federal courts located in Bernalillo County, New Mexico, and you consent to the personal jurisdiction of those courts.

Changes

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Site after an update means you accept the revised Terms.
